GameStop: CEO pagará multa de US$ 1 milhão após acordo; entenda

O CEO da GameStop, Ryan Cohen, resolveu uma suposta violação da lei antitruste com a Federal Trade Commission (FTC) em conexão com a aquisição de uma parte das ações com direito a voto do Wells Fargo.

O regulador disse que Ryan Cohen concordou em pagar uma multa civil de US$ 985.320 após o executivo da GameStop não ter protocolado em tempo hábil um formulário Hart-Scott-Rodino com as agências antitruste federais para divulgar a compra antes de concluir sua aquisição dos títulos.

A Lei Hart-Scott-Rodino exige que os compradores de certas quantidades de ações da empresa alertem publicamente os reguladores para que as agências federais possam investigar os negócios antes que eles sejam fechados.

Compras feitas pelo CEO da GameStop

Cohen adquiriu 562.077 títulos com direito a voto no Wells Fargo em março de 2018, o que resultou em participações agregadas que excederam o limite de arquivamento aplicável Hart-Scott-Rodino de US$ 100 milhões, disse a FTC.

De março de 2018 a setembro de 2020, Cohen continuou a adquirir títulos com direito a voto do Wells Fargo.

Após adquirir as ações, o CEO da GameStop manteve comunicações periódicas com a liderança do Wells Fargo sobre sugestões para melhorar os negócios do banco e defender uma possível cadeira no conselho, disse a agência.
